These Terms of Service (“Terms”) constitute a legally binding agreement between Business Manifold LLC, doing business as Lucky Local Offers (“Lucky Local Offers,” “we,” “us,” or “our”) and the person or entity purchasing, accessing, or using our products or services (“Customer,” “you,” or “your”).

By accessing our website, submitting an order, purchasing a product or service, subscribing to a recurring service, or otherwise using our services, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you should not purchase or use our products or services.

1. PRODUCTS AND SERVICES

Lucky Local Offers provides marketing, technology, creative, advertising, reputation-management, customer-engagement, and related products and services to individuals and businesses.

Our products and services may include, without limitation:

Creative Services

AI-generated videos;
AI-generated images;
photography;
videography;
video editing;
graphic design;
social-media content;
website content;
blog content;
email content;
advertising creative;
marketing materials;
and other digital content.

Website and Online Presence Services

website design and development;
landing pages;
website hosting;
website maintenance;
search-engine optimization (“SEO”);
local SEO;
search-engine listings;
business-directory listings;
listing claiming;
listing management;
Google Business Profile-related services;
online reputation management;
review-request campaigns;
review-management services;
and related online-presence services.

Advertising and Lead Generation

Google advertising;
pay-per-click (“PPC”) advertising;
social-media advertising;
digital advertising;
advertising campaign management;
lead-generation campaigns;
landing pages;
lead capture;
and related marketing services.

Customer Engagement and Automation

CRM services;
lead management;
automated follow-up;
SMS messaging;
email marketing;
chatbots;
conversational AI;
AI receptionist services;
appointment scheduling;
customer reactivation;
loyalty programs;
review-request systems;
and marketing automation.

Physical Products

We may also sell physical marketing products, including but not limited to:

NFC Google review cards;
NFC tags;
review cards;
signs;
displays;
promotional materials;
and other marketing products.

Lucky Local Offers may introduce additional products and services in the future.

2. THIRD-PARTY SERVICES AND TECHNOLOGY

Many of our products and services may be provided using, powered by, integrated with, or dependent upon third-party platforms and service providers.

These may include, without limitation:

Vendasta;
Kangaroo;
Stripe;
Google;
Google Ads;
Google Business Profile;
Meta;
Facebook;
Instagram;
WordPress;
hosting providers;
AI providers;
SMS and telecommunications providers;
CRM providers;
email providers;
SEO platforms;
reputation-management platforms;
loyalty platforms;
analytics providers;
payment processors;
and other software, technology, advertising, or service providers.

We may add or replace third-party providers at any time when reasonably necessary to provide or improve a service.

When you purchase a service that depends upon a third-party platform, your use of that platform may also be subject to the third party’s terms, privacy policy, acceptable-use policies, technical limitations, pricing, and other requirements.

Lucky Local Offers does not control third-party platforms and does not guarantee their availability, performance, policies, pricing, algorithms, features, or continued operation.

If a third-party provider changes, restricts, suspends, discontinues, or materially modifies its service, Lucky Local Offers may, in its reasonable discretion:

modify the affected service;
substitute a reasonably comparable service;
temporarily suspend the affected portion of the service;
adjust pricing where appropriate; or
discontinue the affected service.

3. SERVICE PACKAGES AND CUSTOM SERVICES

Our services may be sold as:

one-time purchases;
recurring monthly subscriptions;
recurring annual subscriptions;
project-based engagements;
usage-based services;
advertising-management packages;
physical-product purchases;
or combinations of these.

The specific price, billing frequency, deliverables, limitations, and other terms applicable to your purchase will be disclosed at the time of purchase, in your order, proposal, invoice, checkout page, service description, or other written agreement.

If a service description conflicts with these Terms, the service-specific terms will control only with respect to that particular service.

4. ONE-TIME PURCHASES

Certain products and services are purchased on a one-time basis.

One-time purchases may include:

website builds;
landing pages;
video projects;
photography;
graphic design;
AI content packages;
setup services;
listing claims;
physical products;
NFC products;
consulting;
and other project-based services.

Unless otherwise stated, payment is due before work begins.

For larger projects, we may require a deposit, milestone payment, or full payment in advance.

Once work begins, the Customer remains responsible for applicable charges even if the Customer later decides not to continue with the project, subject to any refund rights expressly provided in these Terms or required by applicable law.

5. SUBSCRIPTIONS AND RECURRING SERVICES

Certain Lucky Local Offers services are provided on a recurring basis.

Recurring services may include:

marketing management;
SEO;
social-media management;
reputation management;
CRM services;
AI services;
chatbot services;
AI receptionist services;
website hosting;
software subscriptions;
listing management;
loyalty programs;
email marketing;
SMS marketing;
advertising management;
and other ongoing services.

When you purchase a subscription, the checkout process will identify the recurring price and billing frequency.

By completing the purchase, you authorize Lucky Local Offers and its payment processor to charge your selected payment method on a recurring basis until the subscription is canceled.

You are responsible for reviewing the recurring price, billing frequency, and service description before completing your purchase.

We will not intentionally conceal recurring billing terms.

6. SUBSCRIPTION RENEWAL AND CANCELLATION

Unless otherwise stated at checkout, subscriptions automatically renew for successive billing periods.

You may cancel a subscription using the cancellation method made available for that subscription.

Cancellation stops future renewals but does not automatically:

refund amounts already paid;
reverse charges for services already performed;
reimburse third-party costs already incurred;
reimburse advertising spend already committed;
or cancel obligations that accrued before cancellation.

If you cancel after a new billing period has begun, the current billing period may remain payable, subject to any refund or cancellation rights required by applicable law or specifically provided with your purchase.

We may provide additional cancellation terms for specific services when those terms are clearly disclosed before purchase.

7. REFUNDS AND CANCELLATIONS

7.1 General Refund Policy

Unless otherwise stated for a particular product or service, payments for Lucky Local Offers products and services are generally non-refundable once fulfillment or work has begun.

This is because many of our services require us to incur costs or allocate resources specifically for the Customer.

This may include:

labor;
creative work;
account setup;
advertising setup;
advertising spend;
third-party software;
third-party subscriptions;
hosting;
domains;
AI services;
SMS or telecommunications charges;
CRM services;
listing services;
SEO services;
reputation-management services;
production costs;
physical products;
customized products;
and other expenses incurred specifically for the Customer.

7.2 Work Already Performed

If you cancel a service after Lucky Local Offers has begun performing work, we may retain or charge amounts reasonably attributable to:

work already completed;
work in progress;
setup and onboarding;
creative production;
account configuration;
third-party services;
third-party fees;
advertising costs;
committed media spend;
hosting;
software;
materials;
and other costs incurred on your behalf.

7.3 Third-Party Costs

Third-party costs incurred on your behalf are generally non-refundable.

For example, if Lucky Local Offers activates a third-party software subscription, purchases advertising, pays for hosting, orders a customized product, purchases AI usage, incurs SMS charges, or otherwise incurs a third-party expense specifically for you, that expense may remain payable even if you subsequently cancel your Lucky Local Offers service.

7.4 Advertising Spend

Advertising budgets are separate from Lucky Local Offers service fees unless expressly stated otherwise.

If you authorize us to spend money on Google, Meta, or another advertising platform, advertising funds that have already been charged, spent, committed, or otherwise made unavailable for recovery by the advertising platform are not refundable by Lucky Local Offers.

Lucky Local Offers does not guarantee that an advertising platform will refund unused or disputed advertising funds.

7.5 Customized Products

Customized, personalized, or made-to-order physical products may not be eligible for cancellation or return once production has begun, except where required by applicable law.

7.6 No Work-for-Free Principle

If Lucky Local Offers has already performed work, purchased resources, activated services, created materials, or incurred expenses specifically for the Customer, cancellation does not automatically eliminate the Customer’s obligation to pay for those services or expenses.

Nothing in this section is intended to waive or restrict any refund, cancellation, or consumer protection right that cannot legally be waived.

8. PAYMENT PROCESSING

Payments may be processed through Stripe or another third-party payment processor.

By submitting payment information, you authorize the applicable payment processor to process your payment according to the terms presented at checkout.

You agree to provide accurate billing and payment information.

You authorize Lucky Local Offers to charge the payment method you provide for:

one-time purchases;
recurring subscriptions;
approved additional services;
usage charges;
applicable taxes;
and other amounts you expressly authorize.

If a payment fails, we may suspend the associated service until payment is successfully received.

9. CHARGEBACKS AND PAYMENT DISPUTES

If you believe a charge is incorrect, unauthorized, or otherwise requires investigation, you agree to contact us at contact@luckylocaloffers.com before initiating a payment dispute when reasonably possible.

We will make reasonable efforts to investigate legitimate billing concerns.

Nothing in this section prevents you from exercising any rights you may have under applicable law or your payment method’s applicable rules.

Fraudulent or knowingly false payment disputes may result in suspension or termination of services.

10. ADVERTISING SERVICES

Lucky Local Offers may manage paid advertising campaigns on behalf of Customers.

Advertising services may include:

Google Ads;
Meta Ads;
social-media advertising;
search advertising;
display advertising;
retargeting;
lead-generation campaigns;
and other digital advertising.

Unless expressly stated otherwise, advertising media spend belongs to the advertising platform and is separate from Lucky Local Offers’ management fee.

Lucky Local Offers may establish, configure, monitor, optimize, and manage campaigns based on information provided by the Customer and the objectives agreed upon.

11. NO GUARANTEE OF MARKETING RESULTS

Marketing results vary significantly between businesses, industries, geographic areas, offers, budgets, competition, seasonality, customer behavior, and other factors.

Accordingly, Lucky Local Offers does not guarantee:

a particular number of leads;
customers;
sales;
appointments;
phone calls;
clicks;
impressions;
conversions;
cost per lead;
return on advertising spend;
revenue;
profit;
search rankings;
review counts;
social-media followers;
engagement;
or any particular business result.

Our services are intended to improve marketing and business processes, but no marketing service can guarantee a particular outcome.

12. AI-GENERATED CONTENT AND AUTOMATION

Lucky Local Offers may use artificial intelligence and automated technologies in providing services.

AI may be used to create or assist with:

images;
videos;
scripts;
voiceovers;
captions;
advertisements;
blog posts;
emails;
social-media posts;
website content;
chatbot responses;
AI receptionist interactions;
customer communications;
and other marketing materials.

AI-generated or AI-assisted content may contain errors, inaccuracies, unintended similarities, or other imperfections.

You are responsible for reviewing and approving content before publication or use when approval is requested or appropriate.

Lucky Local Offers does not guarantee that AI-generated content will be completely original, factually accurate, error-free, or suitable for every intended purpose.

You acknowledge that AI technologies and their underlying models may change over time and that third-party AI providers may modify, restrict, suspend, or discontinue features.

13. CLIENT MATERIALS AND REPRESENTATIONS

You may provide Lucky Local Offers with materials necessary to perform your services, including:

photographs;
videos;
logos;
trademarks;
business information;
customer information;
email addresses;
telephone numbers;
written content;
recordings;
credentials;
social-media content;
advertising materials;
and other materials.

You represent and warrant that you have the necessary rights, permissions, licenses, and authority to provide those materials to us and authorize us to use them for the services you purchased.

You are responsible for ensuring that any customer information, contact lists, images, recordings, or other personal information you provide may lawfully be used for the intended purpose.

You agree not to provide materials that infringe another person’s intellectual-property, privacy, publicity, or other legal rights.

14. EMAIL AND SMS MARKETING

Lucky Local Offers may provide email and SMS marketing services, including:

promotional emails;
newsletters;
automated email campaigns;
SMS campaigns;
appointment reminders;
customer reactivation;
follow-up messages;
review requests;
loyalty communications;
and other customer communications.

You are responsible for ensuring that the contact information and customer lists you provide may legally be used for these purposes.

You agree not to provide us with contact information obtained unlawfully or without legally required consent.

You acknowledge that email and SMS marketing is subject to applicable laws, regulations, carrier requirements, platform policies, and provider restrictions.

Messages may be subject to carrier fees, message limits, filtering, throttling, or blocking.

Where required, marketing communications will include appropriate opt-out mechanisms.

15. GOOGLE REVIEWS AND REPUTATION MANAGEMENT

Lucky Local Offers may provide services intended to help Customers:

request reviews;
monitor reviews;
respond to reviews;
collect customer feedback;
monitor reputation;
and improve customer engagement.

Lucky Local Offers does not guarantee any particular:

number of reviews;
review rating;
customer response rate;
or reputation score.

You agree not to use our services to create, purchase, fabricate, manipulate, or submit fraudulent reviews or otherwise violate the policies of Google or another review platform.

You are responsible for the accuracy and legitimacy of your customer relationships and review requests.

16. SEO, LOCAL SEO, AND SEARCH LISTINGS

Lucky Local Offers may provide SEO and local-search services, including:

search-engine optimization;
local SEO;
business-directory listings;
listing synchronization;
listing claiming;
Google Business Profile services;
citation building;
keyword optimization;
content optimization;
and related services.

Search engines and directories independently control their:

algorithms;
rankings;
indexing;
listings;
policies;
search results;
and technical systems.

Accordingly, we do not guarantee:

a particular search ranking;
first-page placement;
Google Maps placement;
search traffic;
indexing;
listing approval;
or a specific number of leads.

Third-party search platforms may change their algorithms or policies without notice.

17. WEBSITE AND HOSTING SERVICES

Lucky Local Offers may provide:

website design;
website development;
landing pages;
WordPress websites;
hosting;
domains;
website maintenance;
and related services.

Specific website deliverables will depend on the package purchased.

Unless expressly included, additional development, custom programming, premium plugins, third-party applications, hosting upgrades, domain fees, maintenance, or other expenses may be charged separately.

If hosting is included as part of a subscription, cancellation of the subscription may result in termination or suspension of hosting after the applicable service period.

Customers are responsible for maintaining copies of important business content and information.

18. SOCIAL MEDIA SERVICES

Lucky Local Offers may provide social-media planning, content creation, publishing, and management services.

Services may include:

social-media strategy;
content calendars;
social posts;
images;
videos;
captions;
profile optimization;
publishing;
and social-media management.

Social-media platforms are controlled by third parties.

We do not guarantee:

follower growth;
engagement;
reach;
account approval;
content distribution;
or uninterrupted access to any social-media platform.

You authorize us to manage applicable social-media accounts as reasonably necessary to provide the purchased service.

19. CUSTOMER ACCOUNTS AND THIRD-PARTY ACCESS

To provide certain services, Lucky Local Offers may require access to accounts belonging to you or your business.

These may include:

Google;
Google Business Profile;
Google Ads;
Meta;
Facebook;
Instagram;
websites;
domain accounts;
CRM systems;
advertising platforms;
social-media accounts;
and other third-party accounts.

You authorize us to access and manage those accounts solely as reasonably necessary to provide your purchased services.

You remain responsible for maintaining ownership and appropriate administrative access to your accounts.

You agree to provide accurate credentials and authorization when necessary.

We are not responsible for problems caused by incorrect credentials, revoked access, account restrictions, account suspensions, or actions taken by third-party platforms.

20. INTELLECTUAL PROPERTY

Lucky Local Offers retains all rights in its pre-existing intellectual property, including:

trademarks;
branding;
logos;
website materials;
templates;
systems;
processes;
workflows;
software;
methodologies;
reusable designs;
proprietary tools;
and know-how.

Unless otherwise stated in writing, payment for a service does not transfer ownership of Lucky Local Offers’ pre-existing intellectual property.

For custom creative work created specifically for a Customer, the Customer’s rights to use the final deliverables will be determined by the applicable service agreement or purchase terms.

Third-party materials remain subject to the applicable third-party licenses and restrictions.

21. CLIENT LICENSE

To the extent that final deliverables are intended for Customer use, and provided that all amounts due have been paid, Lucky Local Offers grants Customer a non-exclusive right to use the applicable final deliverables for the purposes described in the applicable service.

Unless otherwise agreed in writing, Customer may not resell, sublicense, redistribute, or commercially exploit Lucky Local Offers’ underlying templates, systems, software, or proprietary processes.

22. PHYSICAL PRODUCTS

Lucky Local Offers may sell NFC cards, review cards, badges, tags, displays, and other physical products.

Product images are for illustrative purposes and may not exactly represent the final physical product.

Minor variations in:

color;
dimensions;
materials;
printing;
packaging;
finish;
or appearance

may occur.

Customized or personalized products may not be returnable once production begins, except where required by applicable law.

23. NFC, QR CODE, REDIRECT, AND DIGITAL LINK PRODUCTS

Lucky Local Offers may sell NFC cards, NFC tags, QR codes, review cards, signs, displays, and similar products that contain or direct users to a URL, QR code, NFC destination, or other digital link.

For certain products, Lucky Local Offers owns or controls the domain, URL, redirect address, or other digital destination associated with the product. The Customer may select or designate the destination to which the applicable link or redirect should direct users, subject to our technical capabilities and applicable third-party requirements.

The Customer understands and agrees that the applicable NFC or QR code may function by directing the user first to a website, URL, or redirect service operated or controlled by Lucky Local Offers, which then redirects the user to the destination selected by the Customer.

23.1 No Guarantee of Continuous Availability

Lucky Local Offers will make reasonable efforts to maintain the applicable redirect service while the associated service is active and paid for.

However, we do not guarantee that any URL, redirect, website, QR code, NFC destination, domain, server, hosting environment, or related digital service will remain continuously available, uninterrupted, error-free, or operational at all times.

The redirect service may become temporarily or permanently unavailable due to circumstances including:

hosting outages;
domain or DNS problems;
software failures;
maintenance;
cybersecurity incidents;
technical errors;
third-party service failures;
changes to internet infrastructure;
expiration or non-renewal of a service;
suspension of an account;
changes to third-party platforms;
force majeure events;
or other circumstances beyond our reasonable control.

23.2 Customer’s Destination

The Customer is responsible for ensuring that the destination selected for its NFC or QR product:

exists;
is accurate;
is legally permissible;
remains accessible;
is appropriate for the intended audience;
and complies with applicable law and third-party policies.

Lucky Local Offers is not responsible for the content, availability, security, accuracy, functionality, or performance of a destination website that is operated by the Customer or another third party.

For example, if an NFC card redirects a customer to a Google review page, Lucky Local Offers does not control Google and cannot guarantee that the Google page, review functionality, URL, or related service will remain available.

23.3 Redirect Changes

During an active service period, Lucky Local Offers may reasonably modify the technical implementation of a redirect, including changing the underlying redirect URL, server, hosting provider, DNS configuration, or technical infrastructure, provided that we continue to use reasonable efforts to provide the intended functionality.

Lucky Local Offers may also change or discontinue a redirect service if reasonably necessary because of technical, security, legal, business, or third-party-provider considerations.

23.4 Subscription-Based Redirect Services

If an NFC or QR product includes an ongoing redirect, hosted destination, analytics, link-management, or similar service that is provided as part of a recurring subscription, the digital redirect service remains active only while the applicable subscription is active and paid for, unless otherwise stated in writing.

If the applicable subscription is canceled, expires, or becomes delinquent, Lucky Local Offers may suspend or deactivate the associated redirect or digital service after the applicable service period.

The physical NFC card, tag, QR code, or other product may continue to exist physically after the digital service has been suspended or discontinued, but Lucky Local Offers does not guarantee that the physical product will continue to function after the associated digital service has ended.

23.5 No Guarantee of Scans, Reviews, or Results

Lucky Local Offers does not guarantee:

a particular number of NFC taps;
QR-code scans;
website visits;
Google reviews;
review ratings;
customer interactions;
leads;
sales;
or any other result from an NFC, QR code, redirect, or related product.

23.6 Third-Party Destinations

If a Customer selects a third-party destination, the Customer acknowledges that the destination is controlled by the applicable third party.

Lucky Local Offers is not responsible for changes to, suspension of, termination of, or restrictions placed on the third-party destination.

24. CUSTOMER RESPONSIBILITIES

You agree to:

provide accurate information;
provide timely approvals when required;
provide necessary account access;
review materials when requested;
maintain appropriate permissions;
comply with applicable law;
comply with third-party platform policies;
pay all amounts when due;
and promptly notify us of errors or concerns.

Delays caused by Customer may extend project timelines.

25. PROHIBITED ACTIVITIES

You may not use Lucky Local Offers’ services to:

violate applicable law;
commit fraud;
impersonate another person or business;
send unlawful spam;
distribute malware;
infringe intellectual-property rights;
create fraudulent reviews;
manipulate advertising systems;
engage in deceptive practices;
promote unlawful products or services;
or violate the terms of third-party platforms.

We may suspend or terminate services associated with prohibited activity.

26. SUSPENSION AND TERMINATION

Lucky Local Offers may suspend or terminate services if:

payment is not received;
Customer violates these Terms;
Customer engages in unlawful or fraudulent activity;
Customer violates third-party platform policies;
a third-party provider makes continued service impossible;
or continued service creates a legal, security, or operational risk.

Termination does not eliminate payment obligations that accrued before termination.

Where appropriate, we may provide an opportunity to cure a violation before termination.

27. DATA AND PRIVACY

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our website or services, you acknowledge that you have reviewed the Privacy Policy.

28. CONFIDENTIALITY

We will use reasonable measures to protect confidential business information provided to us in connection with our services.

You agree not to disclose confidential information belonging to Lucky Local Offers, including non-public pricing, proprietary systems, credentials, processes, or business information.

This section does not apply to information that:

is publicly available;
was already lawfully known;
is independently developed;
or must be disclosed by law.

29. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUCKY LOCAL OFFERS PROVIDES ITS PRODUCTS AND SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WE DO NOT GUARANTEE THAT:

OUR WEBSITE WILL ALWAYS BE AVAILABLE;
SERVICES WILL BE UNINTERRUPTED;
THIRD-PARTY PLATFORMS WILL REMAIN AVAILABLE;
SOFTWARE WILL BE ERROR-FREE;
AI-GENERATED CONTENT WILL BE ERROR-FREE;
MARKETING CAMPAIGNS WILL PRODUCE A PARTICULAR RESULT;
SEARCH ENGINES WILL MAINTAIN PARTICULAR RANKINGS;
REVIEWS WILL BE PUBLISHED;
ADVERTISEMENTS WILL BE APPROVED;
OR SERVICES WILL PRODUCE A PARTICULAR LEVEL OF REVENUE OR PROFIT.

NOTHING IN THESE TERMS DISCLAIMS A WARRANTY OR RIGHT THAT CANNOT LEGALLY BE DISCLAIMED.

30. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUCKY LOCAL OFFERS, BUSINESS MANIFOLD LLC, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION:

LOST PROFITS;
LOST REVENUE;
LOST CUSTOMERS;
LOST DATA;
LOST BUSINESS OPPORTUNITIES;
ADVERTISING LOSSES;
BUSINESS INTERRUPTION;
OR DAMAGES RESULTING FROM THIRD-PARTY PLATFORM CHANGES OR OUTAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PRODUCT OR SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO LUCKY LOCAL OFFERS FOR THAT PARTICULAR PRODUCT OR SERVICE DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in this section limits liability that cannot legally be limited or excluded.

31. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Business Manifold LLC d/b/a Lucky Local Offers and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable legal expenses, arising from or related to:

your violation of these Terms;
your violation of applicable law;
materials you provide to us;
your customer lists;
